Conditions for sale and delivery

General conditions.

  1. The conditions for sale and delivery are entered and accepted by both parties and are binding. Any additions and modifications to the contract require the written confirmation of Bent Tram A/S.
  2. All offers are binding for a period of 3 months from the date of issue unless expressly stated otherwise in writing.
  3. In case of export the INCOTERM rules for the interpretation of trade rules shall apply.
  4. All information on weights, dimensions and performance given in technical papers etc. is to be deemed approximately. The supplier reserves the ownership on all documents and drawings. Such information shall not be divided to third parties.

Price and payment.

  1. The prices are ex. works, excluding packing, transportation and shipping costs, value added tax, custom duties and other fees.
  2. Payment shall be made as follows:
    ½ down payment after signing of the contract, or receipt of suppliers order confirmation.
    ½ payment to be paid prior to shipping.
  3. A purchaser shall have no right to back charge any portion of the price because of any disputed claims against the supplier.


  1. The periods within which the delivery will be made shall run from the date of the written order confirmation; they will however not start prior to the date on which all commercial and technical terms and conditions have been agreed to, all documentation, approvals and assurances or security to be procured by purchaser have been received by supplier and the down payment has been received.
  2. The supplier cannot accept any responsibility for delays due to strikes, lockouts or any unforseen events beyond the supplier's control. Failure to deliver under a contract on a due date for any reason whatever covered in this clause shall not entitle the purchaser to make any claims for damages in respect of late delivery.
  3. A delivery date shall be considered to be met if the goods to be supplied have left the supplier by that date.
  4. The risk of loss and of damage to all or parts of the goods shall pass to the purchaser upon their loading.


  1. Machinery is supplied with all safety devices required according to the safety statues in Denmark. Additional safety devices shall be the sole responsibility of the purchaser.
  2. The supplier provide replacement parts for all parts which can be proven to have become unserviceable or have significantly lacked serviceability for 24 months from the date of putting the machinery in operation, on condition that the purchaser gives prompt written notice to the supplier of the defects found.
  3. The supplier assumes no liability for defects caused by unsuitable storage or use, improper operation or maintenance, faulty assembly and setting into operation, ordinary wear and tear, unsuitable raw materials or other supplies, chemical, and electrical damage.

Jurisdiction and applicable laws.

  1. Submittance of quotations and order confirmations and execution of orders under these conditions shall be subject to Danish law. Any dispute arising between the parties, including but not limited to the interpretation of the Conditions of Sale shall be fully and finally settled by Sø- og Handelsretten in Copenhagen.
